Terms of Use — Chil Fi

1. What this covers
These terms govern use of Chil Fi, an internal business-analytics application built and operated by Chil & Co. ("we", "us", "our").
Chil Fi is an internal tool. It is not a commercial product, it is not offered or sold to third parties, and it is not available to the general public. These terms apply to the employees, contractors, and authorized personnel of Chil & Co. who are permitted to use it ("you").
By accessing or using Chil Fi, you agree to these terms. If you do not agree, do not use it.
2. What Chil Fi does
Chil Fi reads data from business systems operated by Chil & Co. — including QuickBooks Online, Harvest, and other connected services — and combines it to produce internal reporting on client and project profitability, cost, capacity, and pricing.
It is a read-and-report tool. It does not write to, alter, or delete records in any connected accounting or time-tracking system.
3. Permitted use
You may use Chil Fi solely for legitimate internal business purposes of Chil & Co. You may not:
Share access credentials with anyone not authorized to use the application
Export, copy, or disclose data from Chil Fi to any third party without authorization
Use the application or its data for any purpose outside your role
Attempt to circumvent access controls, or access data you are not authorized to see
Use the application in violation of any applicable law, or in breach of our obligations to clients or to connected service providers
4. Confidentiality
Data in Chil Fi is confidential business information. It includes client commercial terms, financial records, and information about the compensation of our people. You must treat it as confidential, use it only as your role requires, and not disclose it outside the organization.
Your confidentiality obligations continue after your engagement or employment with Chil & Co. ends.
5. Third-party services
Chil Fi connects to services operated by third parties, including Intuit (QuickBooks Online) and Harvest. Your and our use of those services remains subject to their own terms and policies. We are not responsible for the availability, accuracy, or conduct of those services, and a change or outage on their side may affect Chil Fi.
6. Accuracy of reporting
Chil Fi produces analysis derived from data recorded in other systems. Its output is only as accurate as that underlying data and the assumptions applied to it.
Figures produced by Chil Fi are for internal management use. They are not audited financial statements, they are not a substitute for our books of record, and they should not be relied on for statutory, tax, or external reporting purposes.
7. Availability
Chil Fi is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that it will be uninterrupted, timely, secure, or error-free.
8. Limitation of liability
To the fullest extent permitted by law, Chil & Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or relating to your use of Chil Fi — whether based in contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
9. Termination
We may suspend or revoke your access to Chil Fi at any time, for any reason, without notice. Access ends automatically when your employment or engagement with Chil & Co. ends. Sections 4, 6, 7, 8, and 10 survive termination.
10. Governing law
These terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law rules. Any dispute arising from these terms or from use of Chil Fi will be subject to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.
11. Changes
We may revise these terms at any time. Continued use of Chil Fi after a revision means you accept the updated terms. The effective date above shows when these terms were last changed.
